1. Agreement to Terms

By accessing or using Uptraq (“the Service”), available at uptraq.io, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Uptraq is a Stripe webhook reconciliation and revenue anomaly monitoring tool designed for developers and small businesses. The Service allows you to connect your Stripe account(s), monitor webhook delivery, reconcile payment events, and receive alerts when revenue metrics behave unexpectedly.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using Uptraq, you represent that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@uptraq.io of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Stripe Integration

The Service connects to Stripe via API keys or OAuth that you provide. By connecting your Stripe account, you grant Uptraq read access to the Stripe data necessary to provide the Service (events, charges, disputes, webhook logs). You must comply with Stripe’s terms of service when using the integration. We do not store your full Stripe secret keys beyond the period needed to establish a connection; restricted keys with minimal required permissions are recommended.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to probe, scan, or test the vulnerability of any system or network associated with the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or sublicense access to the Service without our prior written consent.

7. Subscription and Payment

Paid plans are billed on a monthly basis through Paddle, who acts as our Merchant of Record. By subscribing to a paid plan, you authorize Paddle to charge your payment method on a recurring basis. All prices are listed in USD and exclude applicable taxes, which Paddle collects and remits on our behalf. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

8. Refunds

Refund requests are subject to our Refund Policy. Because Paddle is our Merchant of Record, all refund transactions are processed by Paddle in accordance with their policies and applicable consumer protection laws.

9. Intellectual Property

The Service and all of its contents, features, and functionality — including but not limited to all information, software, text, graphics, and logos — are owned by Uptraq and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTRAQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if it is necessary to protect the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. Material changes will be communicated via email to registered users at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or, where arbitration is not enforceable, in the courts of competent jurisdiction.
